The Dubai Multi Commodities Centre (DMCC) is one of the UAE's largest free zones, home to trading, commodities, technology and services companies in Jumeirah Lakes Towers.

Every DMCC company, whether it carries the FZCO suffix or the older DMCC suffix, must have its annual accounts audited by a firm on DMCC's Approved Auditor List and uploaded on the DMCC Member Portal within six months of its financial year end. Since 2023 the same audited accounts also drive its UAE corporate tax return.

SGA World provides DMCC approved audits from our office in Business Bay, Dubai: we prepare your IFRS accounts, build the audit-ready file, coordinate the audit and handle the Member Portal submission. The audit report is signed by our associate firm, Saif Chartered Accountants, which is on DMCC's Approved Auditor List.

DMCC Approved Auditors: Key Points

  1. Audit: every FZCO and DMCC-suffix company, and most branches, must submit audited financial statements every year.
  2. Auditor: the audit firm must be on DMCC's Approved Auditor List; approval lasts 12 months and must be renewed.
  3. Deadline: upload within six months of the financial year end: 30 June for a 31 December year end.
  4. Submission: on the DMCC Member Portal, with the auditor-signed Audited Financial Statements Summary Sheet.
  5. Corporate tax: the same audited figures support the return due nine months after the year end, and the QFZP 0% rate.

The company, not the auditor, must check that its audit firm is on DMCC's current Approved Auditor List when it appoints or renews it. A report from a firm that is not listed can be rejected, and the audit then has to be redone.

Audit report

What Must a DMCC Audit Report Confirm?

DMCC's rules ask for more than a standard audit opinion. The audit report must confirm:

  • that the accounts are prepared under IFRS and give a true and fair view;
  • that the company carried on only the activities its licence permits, with revenue from other activities shown as other income;
  • that bank balances are confirmed directly with the banks, and any undisclosed bank account is flagged;
  • that salary expenses are disclosed;
  • that the financial period and share capital match the company's articles;
  • any qualified, adverse or disclaimer opinion.

The accounts must be approved by the board and signed by at least one director before the audit report is issued.

Corporate tax

How Does Corporate Tax Apply to DMCC Companies?

Every DMCC company must register for corporate tax and file a return within nine months of its year end. A company that meets the conditions to be a Qualifying Free Zone Person (QFZP) pays 0% on qualifying income and 9% on other taxable income.

Audited financial statements are a condition of QFZP status, whatever the revenue, and are required for any company with revenue above AED 50 million. For most DMCC companies, one audit covers both DMCC and the Federal Tax Authority.

The de minimis limit for non-qualifying revenue is the lower of 5% of total revenue or AED 5 million. See our QFZP guide and our corporate tax services. Related-party transactions also need to meet the transfer pricing rules.

What to prepare

What Documents Do We Need for a DMCC Audit?

Company documents

DMCC licence, memorandum and articles, share certificates and any suffix change certificate.

Accounts

Trial balance, general ledger, bank statements and bank confirmations for the year.

Assets and inventory

Fixed asset register, stock count sheets and inventory valuation, where relevant.

Payroll

Payroll records and employee contracts, for the salary disclosure.

Related parties

Intercompany agreements, balances and transfer pricing support.

Tax

Corporate tax registration, QFZP analysis and VAT returns, if registered.

Fees and timing

How Long Does a DMCC Audit Take and What Affects the Fee?

Timing depends mainly on how complete your records are when we start. For a well-organised company, fieldwork usually takes one to three weeks after the books are closed, so start at least two months before your DMCC deadline.

The fee depends on:

  • revenue and transaction volume;
  • inventory and whether a stock count is needed;
  • the number of bank accounts, currencies and related parties;
  • the condition of the books at year end;
  • whether a QFZP analysis and corporate tax return are included.

We quote a fixed fee after a short scope call.

Frequently asked questions

DMCC Approved Auditors – FAQs

Short answers to the questions UAE businesses ask us most. Still unsure?

Talk to our team
01.What is a DMCC approved auditor?

An audit firm that DMCC has approved to audit its member companies and placed on its Approved Auditor List. The firm needs a UAE audit licence, and its audit partner needs a Ministry of Economy and Tourism auditor registration. Approval lasts 12 months and must be renewed.

02.When is the DMCC audit deadline?

Six months after your financial year end: 30 June for a 31 December year end.

03.Do FZCO companies in DMCC need an audit?

Yes. Since the DMCC-to-FZCO suffix change, FZCO and DMCC-suffix companies follow the same audit rules.

04.Is an audit required if my DMCC company is dormant or had no revenue?

The audit requirement applies to licensed DMCC member companies, so a quiet year does not remove it by itself. Check with DMCC whether any relief applies to your company's status, and ask us about a reduced scope for a low-activity company.

05.What happens if I submit an audit from a firm that is not approved?

DMCC can reject the submission and apply sanctions, and you will need a new audit from a listed firm.

06.Do I need audited accounts for corporate tax as well?

Audited accounts are required for corporate tax if revenue exceeds AED 50 million, and for every Qualifying Free Zone Person. For most DMCC companies the DMCC audit covers both.

07.Who signs the audit report for SGA World DMCC clients?

Our associate firm, Saif Chartered Accountants, which is on DMCC's Approved Auditor List, signs the audit report. SGA World prepares the accounts and audit file, coordinates the audit and handles the Member Portal submission.

08.How much does a DMCC audit cost?

It depends on revenue, transaction volume, inventory, group structure and how up to date your books are. We quote a fixed fee after a short scope call.

09.Is DMCC a designated zone for VAT?

No. DMCC is not a VAT designated zone, so normal UAE VAT rules apply to its companies.

10.Can you also do our bookkeeping and VAT?

Yes. Many DMCC clients use us for monthly bookkeeping and VAT returns, which makes the year-end audit faster.
